Terms of Service

In these Terms of Service, the following definitions apply:

• "Agreement" refers to these Terms of Service and any other policies or documents incorporated by reference.
• "App" or "Service" refers to the Auto Capture application for BigCommerce, including all features, updates, and related services.
• "Company," "we," "us," or "our" refers to Success Variable LLC, the operator of Auto Capture.
• "User," "you," or "your" refers to the individual or entity that installs and uses the App, including store owners, administrators, and authorized personnel.
• "Store" refers to your BigCommerce e-commerce store that the App is installed on.
• "BigCommerce" refers to BigCommerce, Inc. and its e-commerce platform.
• "Subscription" refers to your paid access to the App under one of our available plans.

Auto Capture is a BigCommerce application that provides order automation services, including:

Core Features

• Auto Order Status Update: Automatically updates order status when new orders are created based on your configuration.
• Auto Payment Capture (Status-Based): Automatically captures authorized payments when orders reach specific statuses.
• Auto Payment Capture (Inventory-Based): Automatically captures payments for orders when all items are confirmed in stock.
• Email Notifications: Sends notifications for successful captures, failures, and daily digest summaries.
• Dashboard and Analytics: Provides insights into order processing and automation performance.

Service Availability

We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice for material changes that may affect your use of the Service.

Requirements

To use Auto Capture, you must:

• Have an active BigCommerce store with appropriate administrative access
• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Have the authority to bind your organization to these terms
• Provide accurate and complete information during installation

Account Security

You are responsible for:

• Maintaining the security of your BigCommerce account credentials
• All activities that occur under your account or Store
• Notifying us immediately of any unauthorized use or security breach
• Ensuring that only authorized personnel access the App

Installation

Installing Auto Capture from the BigCommerce Marketplace indicates your acceptance of these terms. The installation process requires you to authorize specific permissions that allow the App to function.

Subscription Plans

Auto Capture offers the following subscription plans:

Free Trial

All plans include a 7-day free trial. During the trial period, you have full access to all features. No payment is required to start the trial. Your subscription will begin automatically at the end of the trial unless cancelled.

Billing

• Subscriptions are billed monthly in advance
• Overage charges (orders exceeding your plan limit) are billed at the end of each billing period
• All payments are processed securely through Stripe
• Prices are in USD and exclude applicable taxes

Refunds

We offer a 7-day free trial to evaluate the Service. Due to the nature of the Service (order processing that cannot be reversed), we generally do not offer refunds for subscription fees. However, we may consider refund requests on a case-by-case basis for exceptional circumstances.

Price Changes

We reserve the right to change our pricing. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

You agree to use Auto Capture only for lawful purposes. You must not:

• Use the Service to violate any applicable laws or regulations
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to process fraudulent transactions
• Share your account credentials or access with unauthorized parties
• Use automated means to access the Service except through our provided APIs
• Resell or redistribute the Service without our written consent
• Use the Service in a manner that could harm us, our users, or third parties

We reserve the right to suspend or terminate your access if we reasonably believe you are violating these acceptable use provisions.

Auto Capture requires certain permissions to function. By installing the App, you authorize us to:

• Read Orders: Access order information to process automation rules
• Modify Orders: Update order statuses as configured in your settings
• Read Store Inventory: Check inventory levels for in-stock capture feature
• Process Payments: Capture authorized payments via BigCommerce's payment API
• Register Webhooks: Receive real-time notifications about order events

We follow the principle of minimal permissions and only request access necessary for the App's functionality. You may revoke these permissions at any time by uninstalling the App.

Our Intellectual Property

Auto Capture, including its code, design, features, documentation, and all related intellectual property, is owned by Success Variable LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your active subscription.

Your Data

You retain all rights to your Store data, order information, and any content you provide through the Service. By using the Service, you grant us a limited license to access and process this data solely to provide the Service.

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback to improve our products and services.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to the collection and use of your information as described therein.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of any information obtained through the Service
• Warranties that defects will be corrected

You acknowledge that you use the Service at your own risk. We are not responsible for any errors or failures in payment processing, order management, or other BigCommerce operations that may result from using the Service.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of:

• The amount you paid us in the twelve (12) months preceding the claim, or
• One hundred dollars ($100)

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Success Variable LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations
• Any disputes with your customers arising from the use of the Service

Termination by You

You may terminate your use of the Service at any time by uninstalling the App from your BigCommerce store and cancelling your subscription through the billing portal.

Termination by Us

We may terminate or suspend your access to the Service:

• For violation of these Terms or our Acceptable Use Policy
• For non-payment of subscription fees
• If required by law or regulatory request
• If we reasonably believe your use poses a security risk
• Upon 30 days' notice for any other reason

Effect of Termination

Upon termination:

• Your access to the Service will cease immediately
• All webhook registrations will be removed from your BigCommerce store
• Your Store data will be handled according to our Privacy Policy
• Any outstanding fees will become immediately due
• Provisions that by their nature should survive will remain in effect

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes arising from these Terms or the Service.

Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at legal@successv.dev to attempt to resolve the dispute informally. We will work in good faith to resolve issues within 30 days.

Binding Arbitration

If we cannot resolve the dispute informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware.

Class Action Waiver

You agree that any disputes will be resolved on an individual basis. You waive your right to participate in class actions, class arbitrations, or representative actions.

Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm pending arbitration.

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of these Terms
• For material changes, we will notify you via email or through the App
• Continued use of the Service after changes take effect constitutes acceptance
• If you disagree with the changes, you must stop using the Service

We encourage you to review these Terms periodically. Material changes will not be applied retroactively and will become effective no sooner than 30 days after notice is provided.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Success Variable LLC regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet outages.

Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Success Variable LLC.
